You can build a Shopify store from outside the US without assuming that a US LLC is the first step. Start with your real business location, where you can accept payments, and how products reach customers.
An LLC may fit your contracts and operations. It also adds company records and filing obligations. Make that decision before moving the store’s payments into a new entity.
Do you need a US LLC for Shopify?
Not necessarily. A foreign individual or local business may be able to operate a store using payment providers available in its country. Your local registration rules still apply.
Compare that route with a US LLC. Ask whether you need a separate contracting entity, how your home country will treat its income, and what yearly work it creates. A US business bank account alone is not a reason to assume the structure works for tax.
If you form an LLC, decide which entity will own the store, sign supplier contracts and receive payments. Record the transition date when moving an existing business. Old sales and refunds should remain traceable to the correct seller.
Check payment eligibility before paying for formation
Shopify Payments is country-specific. Its US requirements distinguish individuals, sole proprietorships and registered companies.
For a private single-member LLC, the requirements include the legal business name, EIN (the company’s US tax ID), business details and a physical US business address where operations primarily occur. A registered-agent mailbox is not evidence that operations happen there.
Shopify also checks the account representative’s identity and home address. Its rules allow a valid passport instead of an SSN or ITIN, US personal tax identification numbers, for certain non-US resident representatives. That is a documentation option, not an approval promise.
An external payout account must meet Shopify’s US banking requirements, including USD checking and ACH bank-transfer capability. Confirm the actual account type with your bank. Ask Shopify Support about your business structure if the requirements do not match your situation.
Separate the company’s filing from income tax
A single-member LLC is generally disregarded for federal income tax unless it elects corporate treatment. Its income is generally treated as the owner’s. A domestic multi-member LLC normally has partnership treatment and generally files Form 1065.
For a wholly foreign-owned disregarded LLC, reportable related-party transactions require Form 5472 with a pro-forma Form 1120. Owner contributions and withdrawals can count in a zero-revenue year. These are information filings, as explained in the IRS Form 5472 instructions.
Federal income tax is a different question. The IRS guidance on effectively connected income (ECI) looks at a US trade or business and connected income. Inventory, fulfillment, US staff and contract arrangements matter. An LLC, EIN and bank account alone do not prove either ECI or exemption.
Confirm the owner’s US tax status too. A US citizen living abroad is not treated like a nonresident alien simply because both live overseas.
Your own store has its own sales-tax duties
A normal sale through your Shopify storefront is your sale. Do not assume it gets the same marketplace-facilitator treatment as an Amazon sale.
State sales-tax obligations can follow physical presence, such as inventory, or economic nexus based on sales. California’s marketplace guidance shows why the channel matters: an out-of-state business with California inventory and direct website sales cannot rely on the marketplace-only registration exception.
Shopify’s US tax guidance says it helps automate tax charging. Filing and remittance require separate arrangements, including eligible Shopify Tax automated-filing setup where available. Turning on calculations does not complete every registration or cover every channel.
Dropshipping is not automatically an offshore activity with no US tax consequences. Document who owns the goods, where suppliers ship from, and when ownership transfers. Review resale documentation and state obligations with someone who understands the supply chain.
State income, franchise or gross-receipts taxes also need review. Sales-tax collection does not settle those.
Keep orders, tax and payouts in separate columns
A useful monthly file has one row per order, with the order date, selling entity, destination, product, discount, refund and tax collected.
| Additional record | Why you need it |
|---|---|
| Payment-provider settlement | Connects orders to fees and bank deposits |
| Refund and chargeback records | Explains cash leaving after the original sale |
| Supplier invoices and shipping records | Supports product costs and fulfillment locations |
| Gift-card balances | Separates payments from later redemptions |
| Owner funding and withdrawals | Keeps related-party transactions out of sales |
For example, an order refunded in November may have been paid out in October. Keep the refund linked to the original order rather than deleting the sale. Save marketplace records separately if the same stock also sells through Amazon.
Make a short pre-launch checklist
Before accepting orders through the new LLC:
- Confirm the payment provider supports your actual business and location.
- Match company names and tax IDs to the supporting documents.
- Review fulfillment locations and state registration needs.
- Assign responsibility for collecting, filing and remitting sales tax.
- Set up monthly order-to-bank reconciliation.
- Ask a home-country adviser about LLC classification, local taxes and reporting.
Tax forms need the same care. A foreign-owned disregarded LLC does not automatically give every payer a W-9 because it has an EIN. The owner’s status and income determine the appropriate W-8 documentation or other form. See our withholding-form guide.
FAQ
Will a US LLC get me Shopify Payments?
Formation does not decide payment approval. Shopify checks the business, representative, address, bank and activity against its own requirements.
Does Shopify Tax do all my tax work?
No. Calculation, registration and return filing are different tasks. Confirm which services you enabled and which sales they cover.
Can I sell on Shopify and Amazon through one LLC?
That can be possible, subject to platform requirements. Keep the sales channels identifiable because collection responsibilities, fees and reporting can differ.
Choose formation with the yearly work in view
Our formation plans explain company setup and ongoing services. For an existing store, accounting covers monthly reconciliation and statements. Ask us to confirm scope before assuming a plan includes state sales-tax work or support for a particular platform feed.
