The short answer
A US LLC can serve a business purpose for a founder who is tax-resident in Germany. It does not move your work or tax obligations out of Germany.
The first question is how Germany will classify the actual LLC. The second is where you manage and operate it. Answer both before paying for formation.
This guide concerns German tax residents, not everyone with German citizenship. It assumes you are a nonresident for US tax purposes. US citizens, green-card holders and people with substantial US presence need a different residency review. This is general information, not individual legal or tax advice.
Germany makes its own classification
For US federal income tax, a single-member LLC is generally disregarded unless it elects corporate treatment. The IRS looks through it to its owner. That treatment does not bind Germany.
Germany uses a Typenvergleich: a comparison of the entity’s legal features with German entity types. The BMF letter of March 19, 2004, reproduced in its 2026 handbook, requires an overall assessment rather than a conclusion from the LLC label.
State law and the operating agreement matter. Management arrangements, liability, ownership-transfer rights and profit arrangements belong in the review. No single feature settles the classification.
Germany may treat the LLC as a corporation or as transparent, with income attributed to its owner or members. An IRS election does not replace that analysis.
Have a German tax adviser review the proposed operating agreement before signing it. A standard template is not a German tax opinion.
Managing the LLC from Germany matters
A Wyoming registration records where the LLC was formed. It does not prove where its business is managed.
Under section 1 KStG, qualifying corporations with their management or registered seat in Germany are subject to unlimited German corporate income taxation. Section 10 AO defines management by the centre of business leadership.
If Germany classifies your LLC as a corporation and you run it from Germany, German corporate residence needs review. German premises or operations can also raise permanent-establishment and Gewerbesteuer, or trade-tax, questions. These are separate from choosing Wyoming or Delaware.
Tell your adviser where you approve contracts, direct staff and perform daily management. Also check German VAT, tax registration and any Gewerbeanmeldung, the local business registration. A US entity does not remove duties arising from German operations.
Profit and distributions can mean different things
Classification affects who reports income and when.
| German treatment | Question to resolve |
|---|---|
| Transparent LLC | Which income is attributed to you as it arises, even without withdrawals? |
| Corporate LLC | What company-level tax applies, and how are distributions taxed separately? |
| Different US and German classifications | Do the taxpayer, income category and timing match for treaty relief? |
For example, the US might attribute business income directly to you while Germany treats a later payment as a corporate distribution. Do not assume that tax paid in one country automatically credits against the other country’s assessment.
The US Treasury explanation of the Germany treaty protocol specifically discusses these classification differences under Article 1(7). Treaty eligibility depends on who is treated as deriving the income, not simply on an LLC’s US address.
Ask for a calculation covering both retained profit and later distributions. Treaty relief and any withholding refund require their own eligibility analysis.
Check German notifications and foreign-company rules
Section 138 AO covers several foreign connections. The applicable reporting route depends on the facts:
- Acquiring, disposing of or changing an interest in a foreign partnership.
- Corporate interests meeting the statutory ownership or acquisition-cost conditions, with the required foreign seat and management.
- First obtaining controlling or decisive influence over a third-country entity, alone or with related persons.
- Establishing or acquiring a foreign business or permanent establishment.
The BZSt reporting guidance explains notification to your competent Finanzamt. Reporting is generally electronic, with statutory exceptions.
Ask your adviser which trigger applies, how direct and indirect interests count, what activity details to provide, and which submission method and deadline apply. Do not assume filing a German income tax return alone supplies the required notification.
Germany’s controlled foreign company rules, called Hinzurechnungsbesteuerung, also need screening. Section 7 AStG, read with section 8, addresses control of qualifying foreign entities and specified low-taxed income. It does not make every foreign LLC a CFC. Classification, management location, control and the nature of income all matter.
Keep the US filing analysis separate
Our foreign-owned LLC tax overview introduces the US side. The usual starting points are:
- A foreign-owned disregarded LLC files Form 5472 with a pro-forma Form 1120 for years with reportable related-party transactions. Owner contributions and withdrawals can count, even without sales, under the IRS instructions.
- An individual owner with effectively connected income, or ECI, generally needs Form 1040-NR. A US trade or business can require filing even without tax due.
- A domestic LLC with multiple members defaults to partnership treatment unless it elects otherwise. Review Form 1065 and foreign-partner withholding, not the single-member package.
A registered agent, EIN or US bank account does not by itself establish a US permanent establishment or US trade or business. An EIN is a tax identification number. Actual activity matters; our ECI guide explains the distinction.
Before you order formation
- Write down the commercial reason for the LLC and compare a German structure.
- Get a German classification review using the intended state law and agreement.
- Map management, work locations, staff and premises.
- Obtain a combined tax calculation, including distributions and treaty treatment.
- Assign responsibility for German registrations, notifications and US filings.
- Compare recurring costs in the formation-service comparison.
Our formation service handles US setup. Our federal tax service covers the stated US filings, not German returns. Form 1040-NR support is limited to single-member LLC business income; other personal income is outside scope. Form 1065 filing is coming soon, not currently available.
Frequently asked questions
Does Wyoming remove German tax?
No. Formation location does not decide German residence, entity classification or taxation of German operations.
Can I avoid current tax by leaving money in the LLC?
Not as a general rule. Transparent treatment can attribute current income to you, while corporate treatment can create company-level tax. CFC rules may also matter.
Does a registered agent manage the company for me?
Receiving official notices is different from managing your business. Read the registered agent guide and document who actually makes decisions.
Does opening a US account settle the tax position?
No. Account approval does not establish German compliance or treaty eligibility. Keep records and review applicable reporting duties. The Mercury account guide covers the application separately.
