Adding another owner to a US LLC changes more than the ownership agreement. It can change the federal return, the information each owner receives and who must send tax payments to the IRS.

For a multi-member LLC with foreign owners, the starting point is usually Form 1065. Foreign partner withholding is a separate responsibility, even when the LLC keeps its profit in the business.

Confirm that the LLC is taxed as a partnership

A domestic LLC with two or more members is generally a partnership for federal tax unless it elects corporate treatment. “Domestic” means formed under US law. Foreign ownership does not turn a Wyoming or Delaware LLC into a foreign partnership.

The IRS Form 1065 instructions distinguish these classifications. Check any Form 8832 election before choosing a return. Special ownership arrangements can also need review.

A domestic partnership generally files Form 1065 unless it receives no income and incurs no expenditures treated as deductions or credits. “No sales” is not the same test: a business with deductible expenses may still need a return.

If a second member joined during the year, give the preparer the admission date and transaction documents. Do not simply reuse last year’s single-member filing.

Form 1065 and Schedule K-1 do different jobs

Form 1065 reports the partnership’s income, deductions and other tax items. Schedule K-1 reports each partner’s allocated share. It does not merely show cash withdrawn.

The partnership generally passes income tax items through to its partners rather than paying ordinary federal income tax itself. That does not remove its withholding duties.

Document Main purpose
Form 1065 Partnership’s annual information return
Schedule K-1 Each partner’s share of income, deductions and credits
Schedules K-2 and K-3 Relevant international tax information, when required
Forms 8804 and 8805 Partnership withholding report and foreign partner credit information
Form 8813 Payment voucher for section 1446 installments, where applicable

Foreign individual partners may need Form 1040-NR. Foreign corporate partners follow different return rules. Receiving a K-1 does not mean every partner has the same tax result.

Foreign partner withholding can apply without distributions

Section 1446(a) generally requires a partnership to pay withholding tax on effectively connected taxable income (ECTI) allocated to foreign partners. ECTI is the taxable income connected with a US trade or business, calculated under the withholding rules.

The IRS instructions for Forms 8804, 8805 and 8813 explain the calculation and reporting. Withholding is not postponed simply because partners leave the money in the LLC.

For example, two nonresident individuals share a US operating business equally. It allocates positive ECTI to both but distributes no cash. The partnership still needs to calculate and fund the applicable withholding. Its cash plan cannot assume that “retained profit” means no payment.

Form 8804 reports the partnership’s annual liability. Form 8805 shows a foreign partner’s ECTI and withholding credit, which the partner uses on their own return. Withholding is a payment toward tax, not necessarily the final liability.

There is another distinction: a partnership with effectively connected gross income allocated to a foreign partner may need Form 8804 even without positive ECTI. Review reporting separately from the amount payable.

Check K-2 and K-3 rather than guessing

Schedule K-2 adds international information to the partnership return. Schedule K-3 gives relevant information to each partner.

The current IRS K-2/K-3 instructions contain filing exceptions, including a small-partnership exception with conditions. Requirements also depend on relevant items and partner requests.

Neither “all foreign-owned partnerships complete every part” nor “small LLCs never file these schedules” is reliable. Ask the preparer to document the applicable exception or the sections required.

Collect each partner’s tax residence, taxpayer identification details and appropriate W-8 or W-9 documentation. Entity partners can require more information than individual partners.

Put the filings and payments on separate calendars

As of October 2026, the standard Form 1065 deadline is the fifteenth day of the third month after year-end. For a calendar-year partnership, that is March 15, adjusted for weekends and legal holidays. The IRS instructions set March 16, 2026 for 2025 calendar-year returns.

Form 7004 requests an extension for Form 1065 when filed by its original deadline. It does not extend the partners’ personal returns or postpone withholding payments.

Section 1446 installments are generally due on the fifteenth day of the fourth, sixth, ninth and twelfth months of the partnership year. Forms 8804 and 8805 have their own filing rules, including a special deadline for partnerships keeping books outside the US and Puerto Rico. Have the preparer confirm that calendar rather than copying the Form 1065 dates.

Prepare the records before year-end

  1. Gather formation documents, the operating agreement and tax elections.
  2. List members, ownership changes and profit-sharing terms.
  3. Reconcile every bank and payment account.
  4. Separate contributions, loans, distributions and payments for services.
  5. Map the activity and income relevant to the ECI assessment.
  6. Review withholding installments, K-2/K-3 requirements and partner returns.
  7. Check state filings and each partner’s home-country reporting.

Tax allocations must follow the agreement and tax rules, not a convenient year-end split. State withholding or returns may also apply outside the formation state.

Our accounting service can help prepare reconciled records. As of October 2026, our federal tax service lists multi-member LLC returns as coming soon: we do not currently file Form 1065. Arrange a partnership preparer for an upcoming deadline.

Frequently asked questions

Does a foreign-owned partnership file Form 5472 instead?

Generally, no. The familiar Form 5472 and pro-forma 1120 package concerns a foreign-owned disregarded LLC. A partnership files under partnership rules; corporate elections can change the answer.

Does foreign ownership alone trigger section 1446(a) tax?

No. The withholding calculation depends on ECTI allocated to foreign partners. Other reporting or withholding rules may still apply.

Can we wait until partners withdraw money?

No. Allocated income and cash distributions are different. Withholding installments and partner reporting can arise before any withdrawal.
