Owning a US LLC does not automatically require a personal US income tax return. It also does not mean the company’s Form 5472 covers your personal tax.
Form 1040-NR is the nonresident individual’s return. The decision to file depends on your tax status, business activity, income and withholding. Start there, before copying the filing list from another LLC owner.
Your return and the LLC’s report are separate
A single-member LLC is generally disregarded for federal income tax unless it elects corporate treatment. Its business income is therefore treated as the owner’s income.
Form 5472 serves a different purpose: reporting qualifying transactions between a foreign-owned entity and related parties. A disregarded LLC attaches it to a pro-forma Form 1120 when required.
| Filing | Whose obligation is it? | What it addresses |
|---|---|---|
| Form 1040-NR | Nonresident individual | Personal US income tax and relevant disclosures |
| Form 5472 with pro-forma 1120 | Foreign-owned disregarded LLC | Reportable related-party transactions |
| Form 1065 and K-1s | LLC taxed as a partnership | Partnership items allocated to members |
One filing does not replace the others. The Form 5472 guide explains the company package.
When does an LLC owner need Form 1040-NR?
First confirm that you are a nonresident for US tax purposes. Living abroad is not enough by itself: citizenship, a green card, US presence and treaty rules can affect your status.
The IRS Form 1040-NR instructions generally require a nonresident engaged in a US trade or business to file, subject to their stated exceptions. A return can be required even without taxable profit or when a treaty exempts the income.
A nonresident without a US trade or business may also need to file when US-source income was not fully covered by required withholding. Filing can be needed to claim a refund of excess withholding.
By contrast, an owner who performs all services abroad, has no US trade or business and has no other filing trigger does not need Form 1040-NR merely because the LLC exists.
Foreign partners should also review partnership rules. A partnership’s US business activity can create an owner filing requirement even if the owner never visits the US.
Income type and treaty treatment decide what goes on it
Effectively connected income, or ECI, is generally taxed after allowable deductions at graduated rates. For an operating business owned directly through a disregarded LLC, Schedule C may accompany Form 1040-NR.
Taxable US-source income that is not effectively connected, such as certain dividends or royalties, is generally reported on Schedule NEC when a return is required. Not every payment from a US business belongs in that category. Service income generally follows where the services were performed.
Our ECI guide explains that analysis. Keep withholding statements such as Form 1042-S and any partnership Form 8805, because they support credits or refund claims.
A treaty may reduce tax or protect qualifying business profits without a US permanent establishment. Confirm residence, eligibility and the actual treaty article. Form 8833 discloses certain treaty-based positions; exceptions mean it is not required for every treaty claim. A treaty does not automatically remove the return requirement.
When a protective return is worth discussing
Sometimes limited US activity leaves a genuine question about whether there is ECI. Treasury Regulation 1.874-1 permits a protective return in specified circumstances.
Its purpose is to preserve the ability to claim otherwise allowable deductions and credits if the initial no-ECI conclusion later proves wrong. Treaty-based conclusions can also require this review.
A protective return needs the appropriate statement and timely filing. It is not a substitute for reporting income you already know is effectively connected. Ask a preparer to document the position rather than submitting an unexplained blank return.
Which deadline and extension apply?
As of October 2026, the IRS instructions distinguish two deadlines for calendar-year individuals:
- If you received employee wages subject to US income tax withholding, the standard deadline is April 15 of the following year.
- Without those wages, the standard deadline is June 15 of the following year.
The instructions specify April 15, 2026 and June 15, 2026 respectively for 2025 returns. Check weekends, legal holidays and applicable relief for the year being filed.
Use Form 4868 to request more time for the individual return by its applicable due date. The LLC’s Form 7004 does not extend your Form 1040-NR.
An extension gives time to file, not to postpone tax payment. If a deadline has passed, assess the filing and payment position promptly rather than waiting for another annual cycle.
Prepare the ITIN and supporting records
Use your Social Security number if you have one. If you need a US taxpayer number and are not eligible for an SSN, you generally apply for an individual taxpayer identification number (ITIN) using Form W-7.
The W-7 instructions generally require a federal return and identity documentation unless an exception applies. The LLC’s EIN cannot replace your personal identifier.
- Confirm residency and record US travel dates.
- Gather contracts and evidence of where work occurred.
- Reconcile business income, expenses and owner transfers.
- Collect withholding statements, K-1s and prior returns.
- Check ITIN status and any W-7 document requirements.
- Confirm treaty disclosures, filing deadlines and estimated payments.
See our ITIN guide before assembling an application. Keep home-country reporting separate too; US filing does not settle your obligations there.
Frequently asked questions
Does every foreign-owned LLC owner file Form 1040-NR?
No. Ownership alone is not the trigger. Review residency, activity, income and any other filing requirements.
Can I skip the return if the calculated tax is zero?
Not necessarily. A US trade or business or a treaty disclosure can still require filing.
Does Nonresident Tax prepare this return?
Our federal tax service includes Form 1040-NR with schedules when a single-member LLC has US business income. With an ITIN, we send it after signature. Without one, we also prepare W-7 and you mail the package. Other personal US income is outside that scope.
