A US LLC can serve a commercial purpose for a business based in France. But forming it does not move your work, management or personal tax residence to the US.

This guide is for founders who are tax resident in France, whatever their nationality, and nonresident for US income tax. US citizens and other US tax residents need a different analysis. Before choosing a state, ask a French cross-border adviser how your proposed LLC would be treated.

France does not simply copy the US classification

A single-member LLC is generally disregarded for US federal income tax unless it elects corporate treatment. The IRS then treats its income as the owner’s income.

That label does not automatically make the LLC transparent in France. French analysis considers the entity’s legal characteristics and governing law, identifies the comparable French company type, then applies French tax rules. The Conseil d’État’s Artémis decision explains this method. It is not a ruling that all LLCs receive one treatment.

Give your adviser the state law, ownership structure and draft operating agreement. Ask about member liability, management powers and transfer rights. “Transparent” broadly means taxing members on allocated income; “opaque” means treating the entity as a separate taxpayer. Your US election alone cannot settle that choice in France.

Work and management in France still matter

Imagine a consultant in Lyon who negotiates contracts, performs services and controls payments from home. A Wyoming registration does not change those facts.

BOFiP’s guidance on foreign businesses operating in France describes circumstances in which French activity creates taxable business profits. Treaty rules must also be checked.

Your adviser should assess effective management, any French permanent establishment, and possible corporate tax obligations. A permanent establishment is a business presence meeting the relevant treaty test, not simply any address. Results depend on the activity, premises and authority exercised in France.

French business registration, VAT and social contributions may still apply. Review your working status and remuneration separately. A US registered agent receives legal notices; it does not relocate the business or resolve these French obligations.

Worldwide income, timing and treaty relief

French tax residents generally face French tax on worldwide income, subject to treaty rules. Keeping cash in a US account does not by itself postpone tax.

If France attributes current profit to you, tax can arise before a withdrawal. If France treats the LLC as a separate company, company profits, salary and distributions need separate analysis. Do not assume every transfer is a dividend, or that retained profits are always outside French taxation.

The US-France treaty’s transparency provision considers whether income through an entity is treated as a resident’s income. It does not order France to adopt the US classification for every purpose.

For double-tax relief, identify the income category, taxpayer, tax period and treaty entitlement. Article 24 contains different credit mechanisms. A US tax payment is not automatically creditable against any French tax, especially when the countries tax different people or recognize income at different times. Check beneficial ownership where the relevant treaty article requires it.

Article 123 bis is another targeted review, not a rule covering every LLC. As checked in October 2026, it generally concerns a French-resident individual’s direct or indirect holding of at least 10% in a foreign entity under a privileged tax regime whose assets are mainly securities, receivables, deposits or current accounts. Exceptions, proof requirements and ownership presumptions matter. Ask whether your facts meet those conditions rather than assuming an exemption or automatic taxation.

Map French income and account reporting separately

The French tax authority’s foreign-income instructions explain Form 2047 and transfers to the main return. Relevant filings can include Form 2042, Form 2042-C-PRO and business returns. Which forms and boxes apply depends on classification, income type and activity. An LLC invoice does not automatically become foreign-source income or qualify for micro-entreprise treatment.

Foreign-account reporting is a separate question. Under BOFiP’s account-reporting guidance, review accounts opened, held, used or closed abroad, including relevant powers of attorney.

The combined Form 3916–3916-bis covers different account categories; the digital-asset section is not an extra bank-account return. For an LLC account, establish the legal holder, your access powers, actual use and capacity. Acting as company manager is different from holding a personal account. Company ownership alone neither automatically makes it your individual account nor settles whether you must report it.

Questions to resolve before formation

Ask for written answers using your actual contracts and proposed agreement.

Question for your French adviser What to bring
Is this LLC transparent or opaque in France, and why? State law, agreement, members and elections
Who earns the income for treaty purposes? Contracts, income categories and ownership
Does management or work in France create business obligations? Work location, premises and signing authority
When are profits and distributions taxable? Expected profit, withdrawals and US tax treatment
Which income and account declarations are needed? Account holders, mandates and transaction records
What VAT, registration and social contribution duties remain? Customers, services and your working role

Then compare formation service scope. For banking, prepare identity and business evidence before applying. Our Mercury account guide explains the application context; providers decide approval.

Frequently asked questions

Does French nationality decide this?

No. This guide follows French tax residence. A French citizen living elsewhere may have a different position.

Can I wait until I transfer money to France?

Not as a general rule. Tax timing follows the applicable classification and income rules, not the destination of a withdrawal.

Does Nonresident Tax handle the French side?

No. We do not prepare French returns. Our US federal tax service covers the relevant company filing. Form 1040-NR support is limited to single-member LLC US business income, not other personal income. Form 1065 service is coming soon and is not currently available.
